Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Adventures Northwest, Inc., a Washington corporation doing business as "Events and Adventures" ("Events & Adventures," "we," "us," or "our"). The Terms govern your access to and use of events-and-adventures.com (the "Site"), all forms and content available through the Site, and all related services, events, and group travel programs offered by Events & Adventures (collectively, the "Services").

By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or Services.

2. Description of Services

Events & Adventures is a singles social club that organizes local social events, mixers, group activities, and group travel and adventure trips for its members. The Site provides information about the Services, allows prospective members to request information and schedule consultations, and allows current members to manage aspects of their membership.

3. Eligibility

The Services are intended only for individuals who are: (a) at least 21 years of age; (b) legally able to enter into binding contracts; and (c) single, divorced, or widowed at the time of membership application, where required by membership criteria. By using the Site or Services, you represent and warrant that you meet these eligibility requirements. Events & Adventures reserves the right to verify eligibility at any time and to refuse, suspend, or terminate Services for any individual who does not meet these requirements.

4. Membership and Accounts

4.1 Application and Approval

Membership in Events & Adventures is subject to application, approval, and execution of a separate written Membership Agreement. Submission of a form on the Site does not create a membership and does not obligate Events & Adventures to accept any application. Membership terms, fees, benefits, and obligations are set forth in the Membership Agreement provided to applicants.

4.2 Background Checks

For the safety and comfort of our members, Events & Adventures may, in its sole discretion, conduct background checks on prospective and current members, including criminal history checks. By applying for membership, you authorize Events & Adventures and its third-party service providers to perform such checks. Membership may be denied, suspended, or terminated based on the results of any background check.

4.3 Account Security

If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

5. Membership Fees, Trips, and Payments

5.1 Fees

Membership fees, trip costs, initiation fees, and other charges are described in the Membership Agreement, in trip materials, or at the point of purchase. All fees are stated in U.S. dollars unless otherwise indicated.

5.2 Payment Authorization

By providing payment information, you represent that you are authorized to use the payment method and you authorize Events & Adventures (and its third-party payment processors) to charge the payment method for the amounts due. Payment is processed by third-party providers, and your use of those providers is subject to their own terms and privacy practices.

5.3 Refunds, Cancellations, and Trip Changes

Refund, cancellation, and rescheduling policies for memberships and trips are set forth in the applicable Membership Agreement, trip booking, or purchase confirmation. Group travel involves third-party suppliers (such as airlines, hotels, and tour operators) whose own terms, fees, and cancellation policies may apply in addition to ours.

5.4 Promotional Pricing

Promotional offers, including limited-time pricing on memberships such as the 3-Year Trips Only Membership, are valid only during the offer period and only as described in the offer. Promotional offers may be modified or withdrawn at any time before purchase.

6. SMS Messaging Program

Events & Adventures operates a marketing SMS program with a single, optional consent checkbox. Consent is not required to submit a form or to receive Services. Full details of the SMS program — including categories of messages, message frequency, opt-out instructions, and information-sharing practices — are described in the Privacy Policy, Section 4. By checking the consent box, you agree to receive marketing and promotional SMS from Events & Adventures and acknowledge that message and data rates may apply.

You may opt out of SMS at any time by replying STOP to any message. Reply HELP for assistance.

You must be 18 years of age or older to use this SMS service.

Carriers are not liable for delayed or undelivered messages.

7. Acceptable Use

When using the Site or Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law;
• Submit false, misleading, or fraudulent information, including someone else's name, contact information, or payment details;
• Harass, threaten, abuse, defame, or otherwise mistreat other members, guests, staff, or third parties at events, on trips, or in any communications related to the Services;
• Engage in any conduct at events or on trips that endangers the safety or comfort of others;
• Attempt to gain unauthorized access to the Site, our systems, or any other member's account;
• Interfere with or disrupt the Site, the Services, or any servers or networks connected to them, including through viruses, denial-of-service attacks, scraping, or automated tools;
• Use the Services to send unsolicited communications, spam, or marketing not authorized by Events & Adventures;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Resell, sublicense, or commercially exploit any portion of the Services without our prior written consent.

We reserve the right to suspend or terminate access to the Site or Services for any violation of this Section, with or without notice.

8. User-Submitted Content

If you submit content to Events & Adventures — including testimonials, photos, comments, or feedback — you grant Events & Adventures a worldwide, non-exclusive, royalty-free, perpetual, transferable, sublicensable license to use, reproduce, modify, distribute, publicly display, and create derivative works of that content for any lawful business purpose, including marketing. You represent that any content you submit is your own original work, does not infringe the rights of any third party, and does not violate any law.

9. Intellectual Property

The Site and Services, including all text, graphics, logos, photographs, videos, designs, software, and other content (excluding User-Submitted Content), are owned by or licensed to Events & Adventures and are protected by U.S. and international copyright, trademark, and other intellectual property laws. The "Events & Adventures" name and logo are trademarks of Adventures Northwest, Inc. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use only. All other rights are reserved.

10. Third-Party Services and Links

The Site may include links to third-party websites or services, and the Services rely on third-party providers (including hotels, airlines, tour operators, payment processors, and SMS platforms). Events & Adventures does not control and is not responsible for the content, products, services, terms, or practices of any third party. Your dealings with third parties are solely between you and the third party.

11. Disclaimers

The Site and Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by law, Events & Adventures disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

Group travel and in-person events involve inherent risks, including risks associated with travel, transportation, physical activity, weather, and interactions with other people. By participating, you acknowledge and assume those risks. Events & Adventures does not guarantee any particular outcome, social experience, or relationship resulting from the Services.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will Events & Adventures, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of the Site or Services, even if Events & Adventures has been advised of the possibility of such damages.

In no event will the total aggregate liability of Events & Adventures arising out of or relating to these Terms or the Services exceed the greater of (a) the total amount you paid to Events & Adventures in the twelve months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Events & Adventures and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Services; (b) your breach of these Terms or any representation, warranty, or agreement you make herein; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit to Events & Adventures.

14. Dispute Resolution and Binding Arbitration

14.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at the address in Section 19 and attempt in good faith to resolve the dispute informally. We will likewise attempt to resolve any dispute with you informally before filing a formal claim.

14.2 Binding Arbitration

If the dispute cannot be resolved informally within sixty (60) days, you and Events & Adventures agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services exclusively through final and binding arbitration administered by JAMS or the American Arbitration Association under their consumer arbitration rules in effect at the time. The arbitration will be conducted in the English language. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

You and Events & Adventures agree to bring any dispute in arbitration on an individual basis only, and not on a class, collective, or representative basis. The arbitrator may not consolidate or join the claims of more than one person, and may not preside over any form of class or representative proceeding.

14.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to enforce the confidentiality of proprietary information.

14.5 Opt-Out of Arbitration

You may opt out of the arbitration agreement in this Section by sending a written notice of your decision to opt out to the address in Section 19 within thirty (30) days of first agreeing to these Terms. The notice must include your full name, address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out will not affect any other provision of these Terms.

15. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-laws principles. Subject to Section 14, any action not subject to arbitration must be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts.

16. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including any violation of these Terms. Upon termination, your right to use the Site and Services immediately ceases. Sections that by their nature should survive termination — including Sections 7 through 17 — will survive.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. Material changes will be communicated by reasonable means, which may include posting a notice on the Site. Your continued use of the Site or Services after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and Services.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any Membership Agreement or trip booking, constitute the entire agreement between you and Events & Adventures regarding the Site and Services and supersede any prior agreements on the same subject.

18.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Events & Adventures.

18.4 Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely. Any attempted assignment in violation of this Section is void.

18.5 No Agency

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Events & Adventures.
